PEOPLE FIRST CLIFFBURN

 

Name

The name of the organisation shall be "People First Cliffburn"

Objects of the Association

The objects of the association are:

The promotion, for the public benefit in the Cliffburn and Hayshead area of arbroath, of urban or rural regeneration in areas of cocial and economic deprivation by all or any of the following means:-

(a) The relief of poverty.
(b) The relief of unemployment.
(c) The advancement of education, training or re-training, particularly among unemployed people and providing unemployed people with work experience.
(d) The provision of financial or technical assisstance or business advice or consultancy in order to provide training and employment oppurunities for unemployed people in cases of financial or other charitable need through help in setting up their own business, or to existing businesses.
(e) The creation of training and employment opportunities by the provision of a work space, building and/or land for use on favourable terms.
(f) The maintenance, improvement or provision of public amenities.
(g) The provision of recreational facilities for the public at large or those who by reason of their youth, age, infirmity or disablement, poverty or social abd economic circumstances, have need of such facilities.
(h) The protection or conservation of the enviroment.
(i) The promotion of public safety and prevention of crime.

And in futherance thereof but not otherwise shall seek to:

(i) Provide such services as a lunch club for older people, drop in facilities for older people and single parents, recreational attractions to socially excluded groups at no or very low cost such as quiz nights and bingo. The organisation will also provide outings and assistance to older people, people with disabilities, single parents and young people.

(ii) Uphold equal opportunities and work towards good relations amongst all members of the community, specifically prohibiting any conduct which discriminates or harasses on the grounds of race, religion, disability political, sex or sexual orientation.

Membership

(a) Membership shall be open to all people willing to share thei skills and knowledge with the aim of promoting the area of CLiffburn and Hayshead.
(b) All members must be at least 16 years of age
(c) Membership shall be free of charge
(d) membership shall cease upon the receipt of a formal written letter of resignation.

The Committee

A committee shall be elected to carry out the business of the group

The committee shall be made up of a chairperson, vice chairperson, secretary, and treasurer and up to 10 general members. The committee may appoint one of their number as minute secretary.

The committee shall be elected at the Annual General Meeting of the organisation.

Should any committee member fail to attend three sonsecutive meeting without tendering apologies, the committee at its discretion can terminate that persons committee membership.

Vacancies on the committee may be co-opted at a general meeting or at the discretion of the committee.

The committee and office bearers chall carry out the duties given them by a general meeting of the organisation.

Non-members of the association will only be able to attend committee meetings at the invitation of the committee.

The committee shall meet not less than 8 times per year, in addition to the Annual General Meeting. The committee shall determine which of these meetings will be general meetings.

The quorum at a meeting of the committee shall be six including at least two office bearers.

Committee members will serve for a period of 2 years.

The committee can invite members or non-menbers to committee meetings as advisers. The advisers will have no voting rights.

Annual General Meeting

There shall be an annual general meeting within fourteen months of the organsiations inaugural meeting or last Annual General Meeting.

The annual general meeting shall:

Receive a report from the committee on its activities, including a statement of accounts fully audited.

Accept the resignation of all committee members and elect a new committee.

Vote on any recommendations/motions and any amendments to the constitution.

Appoint two competent impartial individuals, not having served on the committee during the preceding twelve months or elected to serve on the new committee, to audit its accounts.

The secretary will notify all members of the date of the meeting not less than 21 days in advance of that meeting.

The quorum of the annual general meeting shall be 14.

Changes To The Constitution

The constitution may be altered at the annual general meeting or at a special meeting called for that purpose.

Proposed changes must be submitted tot he secretary in writing not less than 28 days before the annual general meeting. the secretary must notify members of the proposed changes within 21 days of the meeting.

Changes must be agreed by at least two thirds majority of voting members present at the meeting.

Finance

All money raised by or on behalf of the Association shall be applied to further the objects of the group.

The treasurer shall keep proper accounts of the finances of the group and make a report available at every committee meeting.

Accounts will be prepared annually and either audited or certified by a capable independant examiner as required by law.

The funds of the group shall be managed through a bank account. Cheques written on behalf of the group must bear the signatures of two office bearers.

Dissolution Of The Group

The group may only be dissolved by a special meeting called for that purpose. Such a meeting shall come about following a proposal in writing signed by a simple majority of those remaining in membership being submitted to the secretary.

All embers shall be informed of such a meeting at least 21 days before the date of the meeting.

Dissolution of People First Cliffburn shall only take effect if agreed by two thirds of the members present and voting at that meeting.

In the event of dissolution of Peole First Cliffburn, any assets remaining after satisfaction of all debts and liabilities, shall not be paid to or distributed among the members of People First Cliffburn but shall be given or transferred to a recognised charitable organisation or organisations having objects similar to those of People First Cliffburn.

On dissolution, any documents belonging to the group shall be disposed of in a manner agreed by that meeting.

Adoption

This constitution was adopted at the inaugural meeting.
